Terms and conditions:

1. This appointment shall commence on the date of the letter and shall remain in force for one year.
2. During the term of this appointment, AIFA hereby grants to the State Distributor/Dealer a non-transferable right to promote in local market, sell and distribute the products lines, subject to the terms and conditions of this appointment. The State Distributor/Dealer may conduct the AIFA products through its agents otherwise in such manner as it thinks appropriate provided prior written consent is obtained from AIFA.
3. The State Distributor/Dealer shall not in any time create a situation that will bring negative image to AIFA brand name.
4. The State Distributor/Dealer shall bear all expenses related to AIFA products except for any cost of printed material agreed in advance by AIFA.
5. If needed by the State Distributor/Dealer to catalyst and ensure the successfulness of products, the State Distributor/Dealer shall use his own initiative in providing his agents with additional promotional items.
6. The State Distributor/Dealer shall request for authorization from AIFA for ay visual display material to be produced in relation to AIFA.
7. The State Distributor/Dealer hereby agrees that AIFA may use the State Distributor/Dealer's name for advertising and promotional activities in relation to AIFA.
8. The State Distributor/Dealer shall not remove or alter any brand names, trademarks, slogans or logos belonging to AIFA.
9. The State Distributor/Dealer shall preserve and maintain the standards and reputation of AIFA in relation to AIFA products.
10. The State Distributor/Dealer shall at all times during the term of this appointment adhere to policies, procedures, manuals and any instructions given, notified and/or informed by AIFA in relation to AIFA products.
11. The State Distributor/Dealer shall comply with all relevant statutes, regulations and by-laws as amended or reenacted from time to time, the requirement of any regulatory or governmental bodies or any competent authorities in relation to any matter or act.
12. The State Distributor/Dealer shall not without the previous written consent from AIFA be directly or indirectly involved in the distribution of any products which are similar to or in competition with AIFA products.
13. Notwithstanding the provisions of this appointment, AIFA reserves the right to conduct its own channeling program using its product lines.
14. Notwithstanding the provisions of this appointment, AIFA reserves the right to change direction, commission and selling price for its product lines.
15. AIFA shall have the absolute discretion in determining and/or providing policies, procedures, manuals, schedules, forms, brochures, pamphlets and any documents deemed necessary in relation to AIFA products notify the State Distributor/Dealer from time to time of any modification thereon.
16. The State Distributor/Dealer shall indemnify and keep AIFA indemnified against any loss, damage or liability suffered by AIFA resulting from breach of this appointment by the State Distributor/Dealer including any act, omission, negligence, representations, or default of the State Distributor/Dealer, its employees, servants, contractors or other for whom he is in law responsible.
17. The State Distributor/Dealer warrants, represents and covenants for the benefit of AIFA as follows: the State Distributor/Dealer has sufficient authority to enter into this appointment, the State Distributor/Dealer at all times keep the customer's personal data secured and such information shall at all times remain confidential, the reports provided under this appointment by the State Distributor/Dealer to AIFA will be complete and accurate.
18. The State Distributor/Dealer, its employees, servants, representatives and/or agents shall not make any representations to the customer or to give any warranties other than those contained in any standard terms and conditions lad down by AIFA from time to time.
19. Without prejudice to any other right or remedies of AIFA under this appointment or at law, AIFA may terminate this appointment by giving the State Distributor/Dealer fourteen (14) days notice, in writing if the State Distributor/Dealer fails to comply with AIFA's policy(ies) and/or instruction(s) communicated to the State Distributor/Dealer, in writing;
